Terms of Service

1. Acceptance of Terms

By installing, accessing, or using Yearly (formerly developed and referred to in codebase archives as Auto-Gifter, “we”, “our”, or “us”), including the Google Workspace Add-on, Chrome Extension, and associated web services at yearly.click (collectively, the “Service”), you enter into a legally binding agreement and agree to be bound by these Terms of Service (“Terms”).

If you do not agree to these Terms, you must immediately uninstall and discontinue all use of the Service.

2. Description of the Service

Yearly is a productivity assistant designed to help Google Calendar users commemorate personal milestones. The Service analyzes calendar event metadata on your client device or within your private Google Workspace environment to identify upcoming birthdays and anniversaries, surfaces curated flower bouquet options and digital gift cards, facilitates 1-click cart checkout via partner networks, and formats pre-written greetings for direct WhatsApp or email transmission.

3. Affiliate and Commercial Disclosure (FTC 16 CFR Part 255)

Yearly participates in affiliate marketing programs. In compliance with FTC 16 CFR Part 255 guidelines:

Material Connection: When you click on certain merchant links provided within the Service (including, but not limited to, FloristOne floral arrangements, Amazon, DoorDash, Starbucks, Target, and associated gift card platforms) and make a purchase, Yearly may receive an affiliate commission or referral fee at no extra cost to you.
Independent Recommendations: We strive to recommend relevant and high-quality gift options, but product availability, pricing, delivery, and merchant policies are entirely governed by the respective third-party retailers.
No Fee Markup: Product pricing and shipping fees on partner checkout portals are identical to direct consumer rates; Yearly never charges users any hidden transaction surcharges.

4. Third-Party Fulfillment & FloristOne Merchant Relationship

Yearly is an independent software application and is not the seller of record, florist, courier, or payment processor for flower orders or gift cards.

Floral Arrangement Fulfillment: All flower orders placed through 1-click checkout links are fulfilled and processed exclusively by FloristOne and their affiliated network of certified local neighborhood florists across the United States and Canada.

Merchant Policies: Payment processing, sales tax, substitutions, same-day delivery guarantees, cancellations, and customer service inquiries are governed entirely by FloristOne's purchase terms and policies. Yearly assumes no liability for florist fulfillment delays, delivery attempts, or flower quality.

5. Third-Party Trademarks & Non-Endorsement Notice

Google, Google Workspace, Google Calendar, Chrome, and the Google logo are registered trademarks of Google LLC. FloristOne, Amazon, Starbucks, Target, DoorDash, WhatsApp, and Meta are trademarks of their respective owners.

Yearly is an independent software product. The reference to third-party brand names, logos, or services does not imply any official affiliation, endorsement, sponsorship, or partnership with Google LLC, Meta Platforms, Inc., or merchant retailers, unless explicitly stated under formal affiliate program agreements.

6. Permitted Use & User Responsibilities

You agree to use the Service solely for lawful, personal, or internal business celebration management. You expressly agree not to:

Reverse engineer, decompile, disassemble, or derive source code from any proprietary components of the Service.
Use the Service to transmit unsolicited commercial communications, automated spam, or abusive messages via WhatsApp, email, or other channels.
Interfere with, disrupt, or place an unreasonable load on the Service's infrastructure or partner APIs.
Violate any Google Workspace Marketplace, Google API Services, or Chrome Web Store developer policies.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT:
• THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
• CALENDAR EVENT DETECTION, REMINDER CALCULATIONS, OR GREETING TEXT WILL ALWAYS BE 100% COMPLETE OR ACCURATE.
• THIRD-PARTY MERCHANTS, FLORIST NETWORKS, OR WHATSAPP GATEWAYS WILL ALWAYS HONOR DEEP LINKS, PROMOTIONS, OR INVENTORY.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YEARLY, ITS FOUNDERS, DEVELOPERS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA LOSS, LOSS OF BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

9. Modifications to Terms

We reserve the right to revise these Terms at any time to reflect updates to our Service, legal requirements, or partner agreements. Modified terms will be published on yearly.click/terms.html with an updated “Last Updated” timestamp. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

10. Governing Law & Severability

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the operator resides, without regard to conflict of law principles. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be severed without affecting the validity of remaining provisions.
